Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Welocity, governing your access to and use of our platform, products, tools, and services, including but not limited to CV and job description (JD) matching, AI-powered interviews, candidate scoring, data insights, and related functionality (collectively, the “Services”).

Welocity uses cookies to improve its usability. This helps us to get good user experience and to also help with improving our website. By continuing to use our website without changing your privacy settings, you agree to use our cookies.

Terms of use and Privacy policy

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Eligibility

You represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. License and Scope of Use

Subject to your full compliance with these Terms, we hereby grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services solely for your lawful internal business or personal purposes.

You agree that, as a condition of this license, you shall not:

Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying ideas, algorithms, or structure of any part of the Services, except to the extent that such activity is expressly permitted by applicable law.

Use the Services to create, develop, or offer products or services that directly or indirectly compete with the Services or any aspect of the technology.

Interfere with, disrupt, or compromise the operation, integrity, or security of the Services, including but not limited to engaging in activities such as hacking, unauthorized access, or denial-of-service attacks.

Use the Services for any unlawful, fraudulent, misleading, discriminatory, or unethical purposes, or in any way that violates applicable laws, regulations, or third-party rights.

Any use of the Services beyond the scope of this license, including any attempt to exploit, modify, or copy the Services, is prohibited and may result in the suspension or termination of your access to the Services.

3. User Content and Data

3.1 Ownership

You retain ownership of any CVs, job descriptions, interview responses, or other content (“User Content”) you submit. You grant us a non-exclusive, worldwide, royalty-free license to use, process, store, analyze, and display your User Content solely for the purpose of providing and improving the Services.

3.2 Data Use & Aggregation

We may aggregate and anonymize User Content and other usage data for research, benchmarking, analytics, and development purposes. We will not disclose any personal information without consent, except as permitted by law or our Privacy Policy.

3.3 Data Security

We implement commercially reasonable security measures to protect User Content. However, no system is 100% secure, and you agree to upload content at your own risk.

4. Intellectual Property

All intellectual property rights, title, and interest in and to the Services, including but not limited to software, algorithms, data models, designs, text, graphics, trademarks, logos, and branding, are and shall remain the exclusive property of Welocity, its affiliates, or its licensors. No ownership rights are transferred to you under these Terms, and you are granted only a limited, non-exclusive, and non-transferable license to use the Services as expressly outlined in these Terms.

5. You should not:

Reproduce, modify, distribute, sell, lease, transfer, or otherwise exploit any part of the Services, including any software, code, content, or materials provided as part of the Services, except as expressly permitted by these Terms.

Remove, alter, or obscure any copyright, trademark, patent, or other proprietary notices or labels that appear on or within the Services, including any markings associated with intellectual property owned by Welocity or its licensors.

Use our name, trademarks, logos, or branding without prior written consent from Welocity, except as expressly authorized by these Terms or other written agreements.

Any unauthorized use of the intellectual property in or related to the Services will constitute a violation of these Terms and may result in the immediate suspension or termination of your access to the Services, in addition to any other remedies available under law.

6. AI and Automated Features – Disclaimer

You acknowledge and agree that:

The Services may use AI, and natural language processing techniques that involve automated decision-making;

AI outputs (e.g., CV–JD matches, interview scores, recommendations) are informational only and should not be relied upon as the sole basis for employment or hiring decisions;

We do not guarantee the accuracy, completeness, or fairness of any automated outputs;

You are solely responsible for ensuring compliance with employment, data protection, and anti-discrimination laws

7. Confidentiality

You agree not to disclose or misuse any confidential or proprietary information obtained through the Services, including but not limited to algorithms, scoring methods, and system behavior. This obligation survives termination.

8. User Conduct

You agree to use the Services in accordance with these Terms and all applicable laws, and you expressly agree not to:

Upload, post, or transmit any content that is false, misleading, defamatory, infringing, or otherwise violates the rights of any third party, including intellectual property rights or privacy rights.

Use the Services to harass, threaten, intimidate, exploit, or harm any individual, group, or entity, or engage in any conduct that could cause distress, harm, or discomfort to others.

Circumvent, disable, or interfere with any security features or access controls of the Services, or engage in any attempt to breach the security or integrity of the Services.

Engage in data scraping, data mining, web crawling, or any form of unauthorized data collection or extraction from the Services, including through the use of automated scripts, bots, or similar tools.

Violation of these conduct rules may result in immediate suspension or termination of your access to the Services, and we reserve the right to take legal action to protect our rights, users, and the integrity of the Platform.

9. Indemnification

You agree to defend, indemnify, and hold harmless Welocity, its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, or expenses (including attorneys’ fees) arising from:

1. Your use of the Services;

2. Your violation of these Terms;

3. Your violation of any applicable law or regulation;

4. Your infringement or misappropriation of any third-party rights.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Services will be error-free, secure, or uninterrupted.

11. Third Party Sites.

We may provide you with access to third party websites or services that are not owned or controlled by us (“Third Party Sites”). Access to Third Party Sites is provided to help you identify and locate other resources that may be of interest to you, to allow you to import or interface with third party applications or services and/or to provide you with guidance relating to our services. Providing access to Third Party Sites is not intended to state or imply that we sponsor, are affiliated or associated with, guarantee, or are legally authorized to use any information, trade name, registered trademark, logo, legal or official seal, or copyrighted symbol that may be reflected in the Third Party Sites.

We are not responsible for any Losses related to your use of any Third Party Sites or to any errors or omissions in the content of the Third Party Sites. Your use of or reliance on any Third Party Sites is at your own discretion and risk. We have no control over and assume no responsibility for the content, privacy policies, or practices of any Third Party Sites. We do not make any representations or warranties related to the Third Party Sites, their owners or operators, or the product or service offerings of any such owners or operators. You acknowledge and agree that we will not be responsible or liable, directly or indirectly, for any Losses caused or alleged to be caused by or in connection with use of or reliance on Third Party Sites or any content, products or services available on or through any Third Party Sites.

We strongly advise you to read the terms of service and privacy policies of any Third Party Sites that you visit or interact with.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall Welocity  be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or use, arising out of or related to your use of the Services.

Our total liability for any claims under these Terms shall not exceed the amount you paid (if any) for use of the Services in the six (6) months prior to the claim.

13. Suspension & Termination

We may suspend or terminate your access to the Services immediately, with or without notice, for any reason, including if you violate these Terms.

Upon termination:

Your license to use the Services ceases;

We may retain and use your data in accordance with our Privacy Policy and applicable laws.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of laws principles.

Any disputes shall be resolved through binding arbitration or the courts located in Bangalore, unless otherwise required by applicable law.

15. Changes to Terms

We may update these Terms at any time. Material changes will be notified to you via the platform or email. Continued use of the Services after such changes constitutes your acceptance of the revised Terms.

16. Data Retention

We retain your data for as long as necessary to fulfill the purposes outlined in this Privacy Policy and for legitimate business purposes, such as compliance with legal obligations, resolving disputes, and enforcing agreements.

17. Miscellaneous

The descriptive headings in these Terms of Use have been inserted for convenience and shall not limit or otherwise affect the construction or interpretation of these Terms of Use. If any part of these Terms of use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. Any failure to enforce or exercise any provision of these Terms of Use or related rights shall not constitute a waiver of that right or provision. No provision of these Terms of Use will be deemed waived unless there is a written waiver signed by an authorized Welocity representative

By using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
